The seller shall not be responsible for the delay in shipment of non - delivery of the goods due toforce majeure. Such as war, serious fire, flood, typhoon and earthquake or other events agreedupon between both parties, which might occur during the process of manufacturing or in the courseof loading or transit. The seller shall advise the buyer immediately of the occurrence mentionedabove and within fourteen days thereafter, the seller shall send by airmail to the buyer for their ac-ceptance of a certificate of the accident issued by the competent government authorities where the ac-cident occurs as evidence thereof.
Under such circumstances, the seller, however, are still under the obligation to take all nec-essary measures to hasten the delivery of the goods. In case the accident lasts for more than 10weeks, the seller at its option may delete the undelivered goods from its purchase order or appropri-ately extend the time of delivery. The seller shall not be responsible for failure or delay to performall or any part of this contract due to force majeure.12. ARBITRATION :
All disputes in connection with this contract or the execution thereof shall be se,ttled friendlythrough negotiations. In case no settlement can be reached, the case may then be submitted~for ar-bitration to China international economic and trade arbitration commission in accordance with itsrules of arbitration promulgated by the said arbitration commission. The arbitration shall take placein Beijing and the decision of the arbitration commission shall be final and binding upon both par-ties ; neither party shall seek recourse to a law court nor other authorities to appeal for revision of thedecision. Arbitration, to both parties, shall continue to execute the present contract except thoseunder arbitration.
In witness thereof, this contract is made both in English and Chinese, signed by both partiesin two original copies; each party holds one copy.
