格式條款的好處是，簡(jiǎn)捷、省時(shí)、方便、降低交易成本。但是其弊端在于，提供商品或者服務(wù)的一方往往利用優(yōu)勢(shì)地位，制定有利于自己而不利于對(duì)方的條款。因此，合同法從維護(hù)公平競(jìng)爭(zhēng)、保護(hù)弱者利益出發(fā)，對(duì)格式條款從以下三個(gè)方面進(jìn)行了規(guī)范。

（1）提供格式條款一方在擬定合同條款及在訂立合同時(shí)，應(yīng)當(dāng)遵循公平的原則確定雙方的權(quán)利和義務(wù)，不能利用自己的優(yōu)勢(shì)地位制定不公平的條款欺負(fù)對(duì)方當(dāng)事人。同時(shí)，提供格式條款的一方當(dāng)事人應(yīng)當(dāng)采取合理的方式提請(qǐng)對(duì)方注意免除或者限制責(zé)任的條款，并按照對(duì)方的要求，對(duì)該類(lèi)條款予以說(shuō)明。

（2）在合同中規(guī)定，免除提供格式條款一方當(dāng)事人主要義務(wù)，排除對(duì)方當(dāng)事人主要權(quán)利的條款無(wú)效；具有合同法第52、53條規(guī)定的情形的，該條款無(wú)效。

（3）對(duì)格式條款的理解發(fā)生爭(zhēng)議的，如果有兩種以上解釋的，從保護(hù)弱者出發(fā)應(yīng)作出不利于提供格式條款一方的解釋?zhuān)桓袷綏l款與非格式條款不一致的，應(yīng)當(dāng)采用非格式條款。非格式條款一般是在格式條款外另行商定的條款，或?qū)υ瓉?lái)的格式條款重新協(xié)商修改的條款，是當(dāng)事人的特別約定，如果與格式條款不一致，當(dāng)然采用非格式條款。
